IE8 (Win7) not closing all processes

I just did a FULL CLEAN reinstall of Windows 7 64Bit Ultimate and downloaded
all updates. Problem I am having is that IE8 sometimes just "freezes." When
I look at task manager there are always 4 or 5 IE8 processes still running.
Sometimes IE8 won't even start. Same thing, I look at task manager and there
are a bunch of IE8 processes still running.

Up until my reinstall I ran the same Win 7 Ultimate with no problems.

Anyome have any theories? I have tried resetting IE8, same results.

** Solution 1 **
First, go to Task Manager (Ctrl+Shift+Esc) and end all IEXPORE.EXE processes
in the Processes tab

Try running IE8 with add-ons disabled. First ensure that all instances of
IEXPLORE.EXE are ended in Task Manager (press Ctrl+Shift+Esc on your
keyboard, processes tab, end process all IEXPLORE.EXE).

Go to Start > Programs > Accessories > System Tools > Internet Explorer (No
Add-ons) to start IE8 without any add-ons. Try using the browser and see if
it works now.

If it is works now, start IE8 normally, go to Tools (if the menu bar
does not appear, hit the Alt key on the keyboard) > Manage Add-ons. Here,
disable all the add-ons you don't need under 'Currently Loaded'. Enable each
add-on one at each time, restart and see if the problem occurs again. Once
it occurs again after enabling an add-on, you have nailed the culprit.

** Solution 2 **
In addition to the above, you can try disabling IE8's memory protection and
see if it helps. Start > Control Panel > Internet Options > Advanced > under
'Security', uncheck 'Enable memory protection to help mitigate online
attacks' > OK

'for consumers')

Did you upgrade to Win7 64-bit or is it a brand-new computer with WinXP
64-bit preinstalled?

Do you see this behavior in IE 64-bit and IE 32-bit or just one of them?

1. Does the behavior persist if you start IE (either) in No Add-ons mode?
To start IE in No Add-ons mode:

=> Start | (All) Programs | Accessories | System Tools | Internet
Explorer (No add-ons).

2. Does the behavior persist if you Reset IE Advanced settings (RIES)?

3. What anti-virus application or security suite is installed, is your
subscription current, and is it supported in Win7? What anti-spyware
applications (other than Defender)? What third-party firewall (if any)?
Were any of these applications running in the background when you installed
IE8?

4. Has a(nother) Norton or McAfee application ever been installed on this
machine (e.g., a free-trial version that came preinstalled when you bought
it AND which may have been reinstalled when you reinstalled Win7)?
