Windows XP Shut down Problem

I have just installed Windows XP and am having that problem of the computer
not shutting down completely. I believe that it is related to my BIOS as I
have a PIII that is about 3 years old. The motherboard is a PC Partner and
I am trying to locate a newer BIOS. The model number is 35C95700XX.

Can someone out there point me in the right direction so that I can update
my BIOS.
