Depends on what you mean by upgrade and waste. You can use the upgrade
version of VHP install Vista where XP Pro is installed as the qualifying OS,
however, it cannot do an in place upgrade of the XP OS - meaning it won't
migrate apps and data. It will do a custom install, where you will have to
install apps from the original media and migrate data. You can use Windows
Easy Transfer (WET) on the XP installation before doing the upgrade. This
will copy data and settings to an external USB drive or flash drive or
CD/DVD. Then after the Vista install, install the apps from original media
then use WET to bring in the data and settings. Personally I think this is
a better option than an in place upgrade, and you can still use the upgrade
version of VHP.

As other precautions I would use a drive imaging program to image the XP
installation and save that on an external USB drive. After Vista is
installed image that. Then if you have to reinstall Vista restore the
image, or if you want to go back to XP you have the XP image for backup.
